ZECUTE Terms & Conditions

1.1 You accept these Terms when you register or use the Platform. If you use the Platform on behalf of a company or other entity, you confirm you are authorised to bind that entity, and “you” includes that entity.

1.2 We may amend these Terms from time to time. Material changes will be notified (in-app or by email) and take effect on the stated date. Continued use after that date is acceptance. If you do not accept, you must stop using the Platform.

3.1 You must be at least 18 years old and legally able to enter into contracts. The Platform is for professional and business use.

3.2 You must provide accurate, current and complete information and keep it updated. Verification may require confirming your email and mobile number (OTP) and completing required profile fields. You may not create an account using false information or impersonate any person or entity.

3.3 You are responsible for all activity under your account and for keeping your credentials secure. Notify us immediately of any unauthorised use.

4.1 ZECUTE is an AI-native platform that helps users discover opportunities and execute on them. Core areas include: the network feed, Business Pages, Startups & Pitches, Investor Deals, Jobs & Gigs, Services, Live Rooms, Surveys/Forms, and communities (“Loops”), with ZEBOT assisting throughout.

4.2 ZECUTE is a technology platform and neutral venue. Except where expressly stated, we do not become a party to any transaction, employment relationship, investment, or agreement between users. We do not endorse, verify the accuracy of, or guarantee any user, Content, listing, deal, or outcome.

4.3 We may add, change, suspend or remove features at any time. Some features are in active development and may be provided on an “as-available” basis.

6.1 You retain ownership of Content you submit. You are solely responsible for your Content and for having all necessary rights to it.

6.2 You grant ZECUTE a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt, display, distribute and otherwise use your Content as needed to operate, provide, secure, promote and improve the Platform and the services you request (including generating assets via ZEBOT and displaying your listings). This licence ends when your Content is deleted, except for copies retained as permitted by our Privacy Policy or required by law, and for prior sublicences.

6.3 You grant other users the rights necessary to interact with your Content through the Platform’s features (for example, viewing your public profile or sharing your listing).

6.4 We may, but are not obliged to, monitor Content, and we may remove Content at our discretion.

7.1 ZEBOT and other AI features generate content and perform actions based on your instructions. AI output may be inaccurate, incomplete or unsuitable. You are responsible for reviewing and verifying any output before relying on or publishing it.

7.2 No Professional Advice: AI output is not professional advice. Nothing generated by ZEBOT (including business, market, legal-template, financial, viability or ROI content, or a “ZECUTE Score”) constitutes legal, financial, tax, investment, or professional advice. Obtain qualified advice before acting.

7.3 When you instruct ZEBOT to import information from your other profiles or websites, you confirm you have the right to do so. You are responsible for AI outputs you publish, and they are treated as your Content under Section 6.

7.4 AI features may use third-party AI infrastructure and are provided “as-is” without warranty of accuracy, availability or fitness for a particular purpose.

8.1 Live Rooms are delivered through integrated third-party platforms — currently Zoom and/or Google Meet — which are among the services permitted for professional communication in the UAE. Your use of a Live Room is also subject to the relevant provider’s terms and privacy policy.

8.2 You must not use Live Rooms for unlawful purposes, and you must not record or transcribe a session without informing participants and obtaining any consent required by law.

8.3 Availability of Live Rooms may depend on your jurisdiction and on the third-party provider. We are not liable for third-party platform outages, changes or restrictions.

9.1 No Brokerage or Advisory: ZECUTE is not a broker, dealer, financial adviser, investment adviser, fund manager, promoter, or intermediary, and is not licensed as such. We provide a neutral listing and communication venue only.

9.2 No Offer or Solicitation: Nothing on the Platform is an offer or solicitation to buy or sell any security or financial product, an invitation to invest, or investment, legal, tax or financial advice. Listings are provided by users, not by ZECUTE.

9.3 User-Supplied Figures: Financials, valuations, projected returns and “projected ROI” are supplied by the listing user, are estimates and forward-looking statements, are inherently uncertain, and are not verified, endorsed or guaranteed by ZECUTE. Past performance and projections are not indicative of future results.

9.4 Due Diligence & Risk: You must perform your own due diligence and obtain independent professional advice before making any investment or business decision. Investments carry risk, including the risk of losing your entire capital. You transact with other users at your own risk.

9.5 Regulatory Compliance: Access to investment-related features may be restricted by jurisdiction and to eligible/verified investors. You must comply with all laws applicable to you, including the UAE Securities and Commodities Authority (SCA) regime and any equivalent regulator in your jurisdiction.

9.6 No Liability for Deals: ZECUTE is not responsible for any transaction, its terms, performance, or outcome, or for any loss arising from a listing, introduction, or Live Room.

10.1 The Platform is offered subject to the laws of the jurisdictions in which it is made available. Some features — in particular real-time voice/video (Live Rooms) — are subject to UAE telecommunications regulation (TDRA) and to the laws of other countries. You are responsible for ensuring your use is lawful where you are located.

10.2 In the UAE, voice and video calling is permitted only through services authorised by the TDRA. We provide Live Rooms exclusively through authorised platforms (Zoom / Google Meet) and do not offer unauthorised voice/video calling.

10.3 Anti-Circumvention: You must not use a VPN, proxy, IP spoofing, false location, or any other method to (a) bypass geographic, regulatory or telecom restrictions, (b) access features not permitted in your location, or (c) misrepresent your location. In the UAE, using a VPN to access unauthorised VoIP services is unlawful.

10.4 We may detect location by IP and other signals, and may restrict, suspend or terminate access where we reasonably believe these rules are being breached. You are solely responsible for any consequence of unlawful circumvention.

11.1 The Marketplace lets users post and respond to jobs, gigs and services. ZECUTE is a venue only. We are not an employer, recruiter, agency, or party to any engagement, and we do not guarantee any job, hire, applicant, deliverable, quality, payment, or result.

11.2 Users are responsible for their own agreements, compliance (including employment, immigration, tax and licensing laws), and for the accuracy of listings and applications.

11.3 Where the Platform facilitates payment between users (for example, freelancer payouts via Stripe Connect), it does so as a technical facilitator. Disputes about work or payment are between the users involved; we may provide tools but are not obliged to mediate or resolve disputes.

12.1 Template Legal Documents: The Platform may generate template legal documents (for example, NDAs, MOUs or service agreements) and facilitate electronic signature to unlock confidential Content. These templates are provided for convenience only, are not legal advice, and may not suit your circumstances or be enforceable in every jurisdiction. Obtain independent legal advice before relying on them.

12.2 User-to-User Agreements: ZECUTE is not a party to any NDA or agreement between users and is not responsible for their validity, performance, breach, or enforcement. You are responsible for complying with any confidentiality obligations you accept.

12.3 Electronic Consent: You consent to transact electronically and agree that electronic signatures and records are valid to the extent permitted by applicable law (including UAE electronic-transactions law).

13.1 Platform Fees: Certain features require payment. Current plans, fees, commissions and take-rates (including subscription tiers, deal success fees, freelancing take-rates, Live-Room ticket fees, à-la-carte AI services, and ZECUTE Wallet top-ups) are described on our pricing/fees pages, which form part of these Terms and may change on notice.

13.2 Payment Processing: Payments, subscriptions and payouts are processed by Stripe. By transacting, you also agree to Stripe’s applicable terms. You authorise us and Stripe to charge your chosen payment method for amounts due, including recurring subscription charges until cancelled.

13.3 Taxes: Stated prices may exclude applicable taxes (including UAE VAT). You are responsible for taxes arising from your use, and for taxes on income you earn through the Platform.

13.4 Renewals & Cancellation: Subscriptions renew automatically unless cancelled before the renewal date. You may cancel via your account settings; cancellation stops future charges but does not, unless required by law, entitle you to a refund for the current period.

13.5 Refunds & Chargebacks: Except where required by law or expressly stated, fees are non-refundable. Wallet balances and boosts are used to purchase Platform services and are non-transferable and non-withdrawable except as stated. Fraudulent chargebacks may result in suspension.

14.1 Proprietary Rights: The Platform, including its software, design, text, graphics, the ZECUTE and ZEBOT names, logos and marks, and all related intellectual property, is owned by or licensed to ZECUTE and is protected by law. Except for the limited licence to use the Platform under these Terms, no rights are granted to you.

14.2 Restrictions: You must not copy, modify, reverse-engineer, create derivative works from, or use our marks or IP without our prior written consent.

14.3 Feedback Licence: If you submit feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.
